ON-PREM LICENSING SCHEDULE

Effective Date: 2025

Purpose: Licensing terms for deploying Toingg’s AI stack on customer infrastructure.

1. Purpose of This Schedule

Governs On-Prem Deployment of ASR, TTS, Memory, LLM orchestration, etc.

2. License Grant

Non-exclusive license to deploy on customer infra for internal business use. Standard term 3 years.

3. Restrictions

No reverse engineering, no training external models, no redistribution.

4. Deployment Models Allowed

Physical servers, Private Cloud (AWS/Azure/GCP VPC), Air-Gapped environments.

5. Components Included

Core modules (ASR, TTS, LLM Orchestration, Memory), supporting modules, and monitoring tools.

6. Customer Responsibilities

Infrastructure security, compliance enforcement (TCPA, HIPAA), telephony configuration, data governance, updates.

7. Toingg Responsibilities

Deployment support, maintenance (patches, updates), support levels.

8. Data Handling & Privacy in On-Prem

Customer is Controller and Processor. No data leaves the environment.

9. Updates, Patches & Upgrades

Delivered as Docker images/scripts. Customer responsible for installation.

10. High Availability & Scaling

Customer responsible to scale compute/storage. Toingg provides optimization guidelines.

11. Fees & Licensing Model

One-time fee + AMC (20%). Additional costs for custom integrations.

12. Suspension and Termination

Suspension for violations. License expires upon termination.

13. IP Ownership

Toingg owns AI models and code. Customer owns their data and logs.

14. Liability

Toingg not responsible for infra outages or carrier failures. Liability capped at license fee.

15. Governing Law

Delaware, USA.
